Media conglomerate ABS-CBN Corporation is set to secure a ₱3.5-billion capital infusion from an investor group headed by tycoon Ramon S. Ang. The landmark transaction could also grant MediaQuest Holdings Inc. Chairman Manny V. Pangilinan operational command of the network.
Under the proposed arrangement, Ang’s consortium will acquire a 39% economic stake in ABS-CBN for ₱3.5 billion. The fresh funds aim to stabilize the network’s finances and prevent liquidation following years of severe losses after losing its broadcast franchise in 2020 under former President Rodrigo Duterte.
Ang reportedly plans to tap Pangilinan—his long-standing business partner—to oversee ABS-CBN’s management, drawing on Pangilinan’s 16-year track record of expanding TV5.
Deal Structure & Financial Breakdown
The ₱3.5-billion package combines equity and debt financing:
- Fresh Equity: ₱2 billion
- Borrowings: ₱1.5 billion
Equity Contributions:
- Foreign Capital (₱1.3 billion): ₱500 million backed by Hong Kong-based Fortman Cline Capital Markets, alongside ₱800 million from an additional foreign source.
- Domestic Capital (₱700 million): Raised through local funding sources.
Currently, Lopez Inc. holds approximately 56% of ABS-CBN, with ABS-CBN Holdings retaining a 10.2% stake.
Corporate Friction & Board Developments
The rescue deal arrives amid internal corporate friction. Lopez Inc. President Federico “Piki” Lopez voiced opposition to a separate ₱2-billion capital injection, claiming over half of the funds were earmarked for executive retirement payouts rather than core operations.
Following his subsequent removal as chairman of Lopez Inc., Piki mounted a legal challenge and requested a Securities and Exchange Commission (SEC) probe into ABS-CBN’s financial affairs. The SEC has since created an ad hoc committee to inspect allegations raised by opposing factions within the Lopez family regarding ABS-CBN and First Gen Corporation.
Despite the ongoing dispute, recent SEC filings reveal that current leadership—ABS-CBN Chairman Mark Lopez and President/CEO Carlo Katigbak—have been nominated to keep their executive roles.
Additionally, former ABS-CBN President/CEO and veteran media executive Charo Santos-Concio is slated to join the board of directors.
Representatives for Ang, Pangilinan, and ABS-CBN Corporation have yet to issue official statements regarding the reports.
