Six publicly listed firms tied to former Senate President and businessman Manny Villar were among the 11 companies sanctioned by the Philippine Stock Exchange (PSE) after failing to submit their second-quarter financial reports on time.
The affected Villar-owned entities include AllDay Marts Inc., AllHome Corp., Villar Land Holdings Corp., Vista Land & Lifescapes Inc., Vistamalls Inc., and VistaREIT Inc.
According to the PSE, all 11 companies missed the August 19 extended deadline to submit their financial statements for the quarter ending June 30.
While the exchange issued a notice on August 20 confirming the sanctions, it did not disclose the specific monetary fines or penalties assigned to each firm.
This exchange discipline coincides with heightened regulatory pressure on Villar’s corporate umbrella.
Villar Land Holdings Corporation is currently facing a criminal complaint filed by the Securities and Exchange Commission (SEC) with the Department of Justice (DOJ) over allegations of insider trading, market manipulation, and misleading disclosures.
The SEC initiated the complaint on January 30 against Villar Land, Manny Villar, members of the Villar family, corporate directors, and connected entities. The case remains at the preliminary investigation stage, with the DOJ evaluating whether there is probable cause to file formal charges.
Villar and his co-respondents have denied all allegations and requested a dismissal of the complaint.
The SEC probe stemmed from discrepancies in Villar Land’s financial reporting. In March 2025, the firm disclosed unaudited figures reporting ₱1.33 trillion in assets and ₱999.72 billion in net income due to real estate revaluations. However, its official audited statements later reflected significantly lower figures of ₱35.7 billion in total assets and approximately ₱1.42 billion in net income.
The remaining five non-Villar companies penalized by the PSE for the reporting delay are I-Remit Inc., Metro Global Holdings Corp., PH Resorts Group Holdings Inc., SOCResources Inc., and TKC Metals Corp.
