The Securities and Exchange Commission (SEC) has extended the deadline for the submission of annual financial statements (AFS), giving corporations additional time to comply with their yearly reporting obligations.
In a statement released Thursday, the Commission announced that the new deadline is now June 15, moved from the original cutoff of May 29.
Alignment with Tax Filing Schedule
The adjustment follows the Bureau of Internal Revenue’s earlier extension of the filing deadline for 2025 annual income tax returns and supporting documents to May 15. The SEC said the change was made to synchronize its reporting calendar with the revised tax schedule.
Coverage of the Extension
The new deadline applies to all corporate entities with fiscal years ending December 31, including domestic corporations, branches and representative offices of foreign companies, as well as regional headquarters (RHQs) and regional operating headquarters (ROHQs).
Filing Requirements Remain in Effect
The SEC reiterated that all submissions must still be completed through its Electronic Filing and Submission Tool (eFAST). Corporations that have already filed through the Bureau of Internal Revenue’s online system are required to attach proof of filing, including system-generated reference numbers or confirmation receipts, to validate submission.
The Commission said the extension is intended to provide regulated entities with additional time while ensuring compliance with both tax and corporate reporting requirements.
